1 – Scope of Services:

The Service Provider agrees to provide comprehensive IT support and maintenance services to the Client’s systems and infrastructure. The scope of services includes, but is not limited.

• Proactive monitoring and management of hardware and software systems.
• Regular preventive maintenance to ensure optimal system performance.
• Prompt troubleshooting and issue resolution.
• Software updates and security patch management.
• Backup and disaster recovery planning and implementation.
• Help desk support and remote assistance.
• On-site technical support.

2 – Service Level Agreement (SLA):

The Service Provider will adhere to the agreed-upon Service Level Agreement (SLA) for response times, issue resolution, and system availability. The SLA will be mutually determined and documented in a separate agreement.

3 – Duration and Renewal:

This AMC shall be valid for a period of one (1) year, commencing on [start date] and ending on [end date]. Upon expiration, the contract may be renewed upon mutual agreement between the two (2) Parties.

4 – Service Charges:

The Client agrees to pay the Service Provider the agreed-upon annual service charges for the provision of maintenance and support services. Payment terms and invoicing details will be outlined in a separate agreement.

5 – Terms and Termination:

Either Party may terminate the AMC by providing a written notice of termination to the other Party at least [notice period] days prior to the intended termination date. Termination of this contract will be subject to any applicable terms and conditions outlined in the agreement.

6 – Confidentiality:

Both Parties agree to maintain the confidentiality of any proprietary or sensitive information obtained during the course of this contract.

7 – Governing Law and Jurisdiction:

The AMC shall be governed by and construed in accordance with the laws of Bahrain. Any disputes arising out of or in connection with this contract shall be subject to the exclusive jurisdiction of the Bahraini courts.
